1. Introduction and Acceptance

These Terms of Service govern access to and use of the BFW Metering website, BFW Metering Cellphone Application, payment channels, prepaid vending services, metering services, account management services, support services, electronic communications and any related products or services offered by BFW Metering.

By accessing our website or application, making a payment, purchasing prepaid utilities, submitting information, requesting support, using a meter-related service or otherwise using any BFW Metering service, you agree to be bound by these Terms.

If you do not agree with these Terms, you must not use our website, application, payment channels or services.

If you are under the age of 18, you must obtain consent and assistance from your parent or legal guardian before using our website, application, purchasing services or making any payment.

2. About BFW Metering and Scope of Services

BFW Metering provides utility metering and related services. The exact services available to a customer may depend on the property, complex, meter type, service agreement, utility provider, municipal requirements and applicable management arrangements.

Services may be provided directly to property owners, landlords, bodies corporate, homeowners associations, trustees, managing agents, tenants, occupants or residents, depending on the relevant arrangement.

Where there is a separate written agreement between BFW Metering and a client, that written agreement will apply together with these Terms. If there is a direct conflict, the written agreement will take precedence to the extent of the conflict.

  • Conventional- or prepaid: electricity, water and sanitation and gas metering
  • Meter supply, installation, commissioning and maintenance
  • Meter management, vending support and prepaid payment processing support
  • Utility account administration, billing support and customer account management
  • Consumption monitoring, reporting and customer support

3. Website Content and Information

The information on our website is provided for general information and service access purposes. While BFW Metering takes reasonable steps to keep information accurate and current, we do not guarantee that all website content, prices, tariffs, product information, downloads, documents or service descriptions will always be complete, accurate, current, uninterrupted or error-free.

BFW Metering may change, update, suspend or discontinue any aspect of the website, service information, products, prices, rates or functions from time to time, where permitted by law and subject to any applicable written agreement.

Tariffs, municipal charges, utility-provider charges, fixed charges and other third-party charges may change without notice to BFW Metering and may not be determined by BFW Metering.

4. Customer Responsibilities

Customers are responsible for ensuring that all information supplied to BFW Metering is complete, accurate and up to date. BFW Metering will not be liable for delays, incorrect allocations, failed transactions, incorrect tokens, service issues or losses caused by incorrect, incomplete or outdated information supplied by a customer or third party.

Customers must keep account details, meter numbers, payment references and contact information secure and must notify BFW Metering as soon as possible if they suspect an error, unauthorised activity, meter issue, payment allocation issue or compromise of their information.

  • Correct payment reference and proof of payment
  • Any information reasonably required to allocate a payment, issue a token, investigate a query or provide a service

5. Payments

Payments may be made only through approved BFW Metering payment channels, which may include online payment links, card payments, EFT, payment gateways, bank deposits or other approved methods.

A payment is only considered received once it has been successfully confirmed by the relevant bank, payment gateway or payment service provider and is visible to, or confirmed by BFW Metering.

Customers must use the correct payment reference. Incorrect references may delay allocation, result in manual processing or cause a payment not to be matched automatically and incur an administration charge to find and allocate the payment.

BFW Metering may request independent verification, proof of payment, identity details or transaction information before allocating a payment, issuing a token, reversing an error or resolving a query.

Bank charges, payment gateway fees, vending fees or administrative charges may apply where disclosed, agreed or permitted by law.

6. Prepaid Utility Purchases and Vending

Where BFW Metering provides prepaid electricity, water or other utility vending services, the customer is responsible for checking all transaction details before making payment or confirming a purchase.

Once a prepaid token, credit, voucher, top-up or meter credit has been successfully issued, allocated or consumed, it will not be reversible or refundable, except where required by law or where BFW Metering confirms that a technical, meter, vending or processing error occurred.

Tokens, credits and vending transactions may be subject to third-party systems, municipal systems, Eskom systems, meter manufacturer systems, vending platforms, payment gateways and network availability. BFW Metering will take reasonable steps to assist with valid vending queries but cannot guarantee the performance of third-party systems.

  • Correct purchase amount and payment method
  • Any arrears, fixed charges, service fees or other amounts linked to the account

7. Fees, Charges, Tariffs and Arrears

The amount payable by a customer may include utility charges, service fees, vending fees, fixed charges, network charges, arrears, administration charges, meter charges or other amounts applicable to the specific account, meter, property or service arrangement.

Utility tariffs and charges may be determined by municipalities, utility providers, property owners, bodies corporate, homeowners associations, trustees, managing agents or other relevant parties. BFW Metering does not necessarily determine all tariffs or charges applied to a customer account.

Where an account has arrears, BFW Metering may be required or authorised to allocate payments first to outstanding balances, fixed charges, service fees or other amounts before vending new utility credit, depending on the applicable arrangement and law.

BFW Metering may suspend, restrict or refuse services where payments are unpaid, reversed, suspected to be fraudulent, incorrectly referenced, disputed without sufficient information, or where there is meter tampering, unlawful reconnection or misuse of services, subject to applicable law and any required process.

8. Service Availability, Maintenance and Third-Party Systems

BFW Metering takes reasonable steps to provide reliable services. However, services may occasionally be delayed, unavailable, interrupted or incorrect due to factors outside our reasonable control.

BFW Metering does not guarantee uninterrupted or error-free access to any website, application, payment channel, vending platform, meter system, communication network, municipal system, Eskom system or third-party service.

BFW Metering may perform scheduled or emergency maintenance and may temporarily suspend services for security, technical, compliance, fraud-prevention or operational reasons.

  • Bank or payment gateway delays
  • Internet, mobile network, server or communication failures
  • Electricity, water and sanitation, gas, municipal, Eskom or utility-provider downtime
  • Metering, vending platform or API downtime
  • Third-party technical issues, incorrect customer information or fraud-prevention checks
  • Force majeure events or circumstances beyond reasonable control

9. Support, Queries and Investigations

Customers must report payment, token, meter, account or service queries as soon as possible. Delayed reporting may make investigation more difficult and may affect the available remedy.

BFW Metering will take reasonable steps to investigate and assist with valid queries. Customers must cooperate with requests for supporting information, access to meters, photographs, proof of payment, transaction references or other information needed to resolve the query.

BFW Metering may refuse to process a query or reversal request where insufficient information is provided, where fraud or misuse is suspected, or where the request relates to a completed third-party transaction that cannot reasonably be reversed.

10. Acceptable Use and Prohibited Conduct

Customers and users may not use BFW Metering’s website, application, payment channels, meters, systems or services for unlawful, unauthorised, fraudulent, harmful or abusive purposes.

BFW Metering reserves the right to suspend, restrict, investigate or refuse service where fraud, misuse, tampering, unauthorised access, abuse, non-payment, unlawful activity or system interference is suspected, subject to applicable law.

  • Fraudulent transactions, false information, misrepresentation or unauthorised access
  • Abuse of payment systems, chargebacks, reversals or attempts to duplicate utility credits or tokens
  • Bypassing, tampering with or unlawfully reconnecting meters, interference with, vending systems, software, networks or communications equipment
  • Uploading or transmitting viruses, malicious code or harmful material
  • Copying, reverse engineering, scraping, modifying, disrupting or attempting to gain unauthorised access to the website, software, systems or data
  • Posting or transmitting unlawful, abusive, threatening, defamatory, obscene, discriminatory or otherwise harmful content
  • Any activity that may cause harm to BFW Metering, its clients, customers, service providers, systems or reputation

11. Website Security and Electronic Communications

BFW Metering may take any reasonable action it considers necessary to protect the security, integrity and reliability of its website, application, networks, back-office systems, customer information, payment channels and services.

You may not attempt to compromise security, gain unauthorised access, bypass controls, introduce malicious code, interfere with systems or use the website or services in a way that breaches the Electronic Communications and Transactions Act 25 of 2002 or any other applicable law.

Information transmitted over the internet, including email, websites, applications, portals, payment gateways and messaging services, may be susceptible to interception, delay, corruption or unauthorised access. You use electronic communications at your own risk, subject to BFW Metering’s legal obligations to protect personal information and maintain appropriate safeguards.

BFW Metering may monitor, record or retain communications and transaction records where reasonably necessary for service delivery, security, fraud prevention, training, quality assurance, dispute resolution, legal compliance or record-keeping.

12. Third-Party Websites, Platforms and Service Providers

Our website, applications, payment channels or services may include links to, integrations with or reliance on third-party websites, payment gateways, banks, vending platforms, meter manufacturers, network providers, municipalities, utility providers or other service providers.

Third-party links or integrations are provided for convenience or service delivery. BFW Metering does not control third-party websites, applications, systems, content, security practices, privacy practices, tariffs, downtime or processing timelines.

BFW Metering is not responsible for loss, delay or damage arising from third-party websites, applications, platforms, service providers or systems, except where BFW Metering is legally responsible or where a written agreement states otherwise.

13. Intellectual Property

All content on the BFW Metering website, BFW Metering applications and in BFW Metering documents, including text, images, branding, logos, designs, databases, documents, software, icons, graphics, layouts, reports and other materials, belongs to BFW Metering or its licensors and is protected by applicable intellectual property laws.

You may view, download or print website content for personal, non-commercial and information purposes only, unless BFW Metering gives written permission for another use.

You may not copy, reproduce, adapt, translate, distribute, publish, modify, reverse engineer, sell, license, remove branding from or commercially exploit any BFW Metering material, website, application, content, software, system, document or report without prior written permission.

If you submit reviews, feedback, suggestions, comments, ideas or other non-personal content to BFW Metering, you grant BFW Metering permission to use, reproduce, adapt and publish that content for business, service improvement and communication purposes, subject to applicable privacy and consumer laws.

14. Privacy and Cookies

The use of personal information is governed by our Privacy Policy, which is available on our website and forms part of the wider relationship between BFW Metering and its customers.

15. Confidentiality

Information relating to meters, accounts, customers, properties, access credentials, tariffs, reports, transaction records, business systems, technical information or service arrangements may be confidential.

You must not disclose confidential information obtained through BFW Metering’s services to unauthorised persons. You must notify BFW Metering as soon as possible if you become aware of unauthorised access, disclosure, loss or misuse of confidential information.

16. Limitation of Liability

BFW Metering will take reasonable care in providing its services. However, to the maximum extent permitted by law, BFW Metering will not be liable for losses, damages, delays, failed allocations, service interruptions, incorrect information or claims arising from matters outside its reasonable control or caused by customer or third-party actions.

This includes losses or claims arising from incorrect customer information, incorrect payment references, third-party system failures, bank or payment gateway delays, municipal, Eskom, utility-provider or vending platform downtime, network failures, meter faults, tampering, unauthorised reconnection, unlawful use, internet or communication failures, force majeure events, or unauthorised use of customer information not caused by BFW Metering’s negligence or unlawful conduct.

To the extent permitted by law, BFW Metering will not be liable for indirect, special, incidental, consequential, punitive or economic losses, including loss of profits, loss of business, loss of data, loss of goodwill or loss resulting from inability to access or use a website, payment channel, meter, vending system or service.

Where BFW Metering is legally liable for a service failure, its liability will, where permitted by law, be limited to correcting the error, re-performing the affected service, allocating the valid payment, issuing the valid utility credit, or refunding the affected amount, depending on the circumstances and applicable law.

Nothing in these Terms limits rights that a customer may have under applicable consumer protection, privacy or other laws.

17. Indemnity

To the extent permitted by law, you indemnify BFW Metering, its directors, employees, contractors, agents, service providers and clients against losses, claims, damages, liabilities, costs and expenses arising from your breach of these Terms, unlawful conduct, incorrect information, unauthorised use, meter tampering, attempted fraud, misuse of services, infringement of rights, or failure to comply with applicable laws or service requirements.

18. Breach, Suspension and Cancellation

If a user or customer breaches these Terms, uses the website, application or services in an unauthorised manner, infringes any law, fails to pay amounts due, tampers with meters or systems, provides false information, abuses payment systems or threatens the security or integrity of BFW Metering’s services, BFW Metering may take reasonable action available under law and any applicable agreement.

Such action may include refusing a transaction, delaying or withholding manual allocation pending verification, suspending or restricting services, cancelling access, reporting unlawful conduct, recovering losses, claiming damages, seeking urgent relief or taking legal action.

BFW Metering may recover reasonable legal and collection costs where permitted by law or agreed in writing.

19. Notices and Electronic Communications

BFW Metering may send notices, statements, transaction confirmations, service updates, legal notices or other communications by email, SMS, WhatsApp, portal notification, website publication or other electronic means, where permitted by law and appropriate to the communication.

Notices to BFW Metering must be sent to the contact details listed in these Terms or to any updated contact details published on our website.

A notice sent by email will be deemed received 48 hours after sending, unless the sender receives a delivery failure notification. A notice actually received by a party will be valid even if it was not sent in the prescribed way.

You agree that agreements, notices, disclosures and other communications provided electronically can satisfy legal requirements that such communications be in writing, where permitted by law.

20. Compliance with Laws

You must comply with all applicable laws, regulations, municipal by-laws or requirements, utility-provider rules, building or property rules, body corporate or homeowners association rules, payment rules and service requirements relating to your use of the website, the application, payment channels, meters and services.

Access to the BFW Metering website, application or services from outside South Africa is at the user’s own responsibility. Users must comply with any local laws that apply to them.

21. Changes to These Terms

BFW Metering may update these Terms from time to time. The latest version will be published on our website and will replace previous versions from the date stated in the updated Terms.

Where required by law, or where an update materially affects how BFW Metering uses personal information or provides a contracted service, BFW Metering will take reasonable steps to provide appropriate notice.

Continued use of our website, application, payment channels or services after updated Terms are published means you accept the updated Terms.

22. General Legal Terms

These Terms are governed by the laws of the Republic of South Africa.

If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be treated as separate from the remaining provisions, which will continue to apply to the fullest extent permitted by law.

BFW Metering’s failure to enforce any right or provision does not constitute a waiver of that right or provision and does not prevent BFW Metering from enforcing it later.

These Terms, together with any applicable written agreement, Privacy Policy, Refund Policy, Delivery or Service Timeline, and published service rules, constitute the applicable terms for the use of BFW Metering’s website, application, payment channels and services.
